Terms of Service

1. Acceptance of Terms

By accessing or using the NAPally.io website, Citation Tracker tool, or Citation Building Service (collectively, "the Services"), you ("the Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services. These Terms form a legally binding agreement between you and NAPally Ltd ("NAPally", "we", "us", or "our").

2. Description of Services

2.1 Citation Tracker

The Citation Tracker is a software tool that scans online directories to identify citation listings for a given business NAP (Name, Address, Phone number). It provides citation health reports including presence, consistency, duplicate flags, and competitor analysis. The Tracker is provided on a freemium basis: five free scans per week are included, with additional scans available via credit bundles purchased through the platform.

2.2 Citation Building Service

The Citation Building Service is a managed service in which NAPally's team builds, corrects, or removes business citations on online directories on behalf of the Client. This service is bespoke — configured specifically for each agency through a Workflow Discovery Call — and priced at a flat rate per citation as agreed in writing prior to work commencing.

3. Agency-Only Eligibility

The Citation Building Service is available exclusively to SEO agencies and digital marketing agencies managing a minimum of 50 client business locations. NAPally does not provide the Citation Building Service to individual businesses, sole traders, or any entity that is not a bona fide agency. NAPally reserves the right to refuse service or terminate an engagement if this eligibility criterion is not met. The Citation Tracker tool is available to any agency that registers and complies with these Terms.

4. Workflow Discovery Call

Before the Citation Building Service commences, the Client agrees to participate in a Workflow Discovery Call. During this call, NAPally and the Client will agree on the canonical NAP data, preferred directories, credential delivery method, turnaround timelines, and reporting format. The output of this call is a written Workflow Brief, which forms part of the agreement for that engagement. No citation building will commence until the Workflow Brief has been agreed by both parties.

5. Payment Terms

5.1 Citation Building Service

A minimum engagement value of $2,500 USD (or equivalent in agreed currency) applies to all Citation Building Service engagements. Pricing is agreed in writing in the Workflow Brief prior to commencement. Invoices are issued per project. Payment terms (e.g., 50% upfront, 50% on delivery) are confirmed in the Workflow Brief. Payment methods accepted include bank transfer and Stripe. Late payment may result in work being paused.

5.2 Credit Bundles

Citation Tracker credit bundles are purchased online via Stripe. Credits are non-refundable but do not expire. All credit bundle prices are in USD and are inclusive of applicable taxes unless otherwise stated.

6. QA Guarantee

NAPally guarantees that every citation built under the Citation Building Service will be confirmed live within the turnaround window agreed in the Workflow Brief. If any citation is not confirmed live within this window, NAPally will resubmit the citation at no additional cost to the Client. This guarantee applies to citations on directories that accept third-party submissions and does not apply to directories that have closed submission processes, require business verification steps that only the business owner can complete, or have rejected the listing for reasons outside NAPally's control (e.g., policy violations by the client's business).

7. Client Ownership of Credentials

All login credentials created during the Citation Building Service are the property of the Client (or the Client's end-client, as applicable). NAPally will deliver credentials to the Client in the format agreed in the Workflow Brief. NAPally retains no right to access, use, or control any listing or credential after delivery. The Client is responsible for the security of credentials after delivery.

8. Intellectual Property

The NAPally website, Citation Tracker platform, reporting formats, and all associated intellectual property remain the sole property of NAPally Ltd. The Client receives a licence to use the Citation Tracker for the purposes of their agency business. The Client retains ownership of all business data they submit (NAP data, client business information). NAPally may use anonymised, aggregated data for product improvement purposes.

9. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete NAP data for all locations to be built
  • Ensure they have authority to submit citation listings on behalf of their end-clients
  • Not use the Citation Tracker or Citation Building Service in a way that violates any directory's terms of service
  • Not resell NAPally's services without prior written agreement
  • Maintain the security of their NAPally account credentials

10. Limitation of Liability

To the fullest extent permitted by applicable law, NAPally's total liability to the Client for any claim arising under or in connection with these Terms shall not exceed the total amount paid by the Client to NAPally in the 12 months preceding the claim.

NAPally is not liable for: indirect, consequential, or special damages; loss of revenue or profits; loss of business or contracts; or any loss arising from the Client's reliance on citation data provided by the Citation Tracker (which is provided for informational purposes and accuracy is not guaranteed). NAPally is not liable for changes made to listings by third-party directories after delivery.

11. Termination

Either party may terminate an engagement with 14 days' written notice. Where work has commenced, the Client is liable for citations built up to the date of termination, at the agreed per-citation rate. NAPally may terminate these Terms immediately if the Client breaches any material provision, including the agency-only eligibility requirement.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where the Client is based in the United States, in which case disputes may be resolved under the laws of the applicable US state, with arbitration as the preferred first step.

13. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter in good faith through direct communication within 30 days before initiating formal legal proceedings.

14. Changes to These Terms

NAPally reserves the right to update these Terms at any time. Material changes will be communicated to registered users via email. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
